TERMS AND CONDITIONS OF SERVICE & USE

1. AGREEMENT TO TERMS

These Terms and Conditions of Service and Use (“Terms”) are a legally binding agreement between you (“you,” “user,” “member,” “subscriber,” or “customer”) and Stock Ships, LLC, a limited liability company organized under the laws of the State of Delaware with its principal place of business in the State of Florida (“Stock Ships,” “we,” “our,” or “us”), governing your access to and use of the website located at www.StockShips.com (the “Site”), our mobile application (when available), subscription services, email and SMS communications, educational content, and any other products, services, or tools we provide (collectively, the “Services”).

By accessing, browsing, downloading, installing, purchasing, or using any portion of our Services, you agree to these Terms. If you do not agree, you must immediately discontinue use of our Services.

Clicking “I AGREE” or a similar button is the legal equivalent of your manual signature and indicates that you agree to be bound by these Terms.

2. COMPANY DESCRIPTION

Stock Ships, LLC is a for-profit publisher, advertiser, and marketing company. We publish favorable information about publicly traded companies (“Issuers”) in exchange for compensation in cash, securities, or both, from the Issuer itself or from third-party shareholders (“Paying Party”).

We are not a registered investment adviser, broker-dealer, financial planner, or analyst. The information we provide is for informational and educational purposes only and is not personalized investment advice.

We may, at any time, own, purchase, sell, or otherwise trade securities of the Issuers we profile, as well as securities held by the Issuer, the Paying Party, other third parties, or investors associated with promotional activity. These activities create actual and potential conflicts of interest and may impact the prices of those securities.

3. SCOPE OF SERVICES

Our Services include, but are not limited to:

  • Website Content – Articles, company profiles, market commentary, educational materials, and promotional publications.

  • Subscription Plans – Paid memberships that may include exclusive reports, premium articles, or community access.

  • Mobile Application – A future app containing similar functionality to the Site, including push notifications and in-app purchases.

  • Email and SMS Communications – Educational content, company updates, promotional communications, and account-related notifications (to subscribers who have opted in).

  • Third-Party Tools – Data, charting, or screening tools provided through partnerships or external vendors.

4. ELIGIBILITY

By using our Services, you represent and warrant that you:

  • Are at least 18 years of age.

  • Have the legal capacity to enter into this agreement.

  • Are not prohibited from using the Services under applicable law.

  • Will comply with all applicable laws and regulations, including securities and communications laws.

5. SUBSCRIPTIONS, PAYMENTS, AND BILLING

  • Subscription fees are due in advance for the selected term (monthly, quarterly, or annually).

  • All subscriptions auto-renew unless canceled in accordance with our Cancellation Policy.

  • You authorize Stock Ships, LLC to store and charge your payment method on file for recurring subscription payments.

  • All fees are non-refundable, except where required by Florida or federal law.

6. CANCELLATION POLICY

You may cancel your subscription at any time by:

  • Logging into your account dashboard and following the cancellation process, or

  • Sending an email to contact@stockships.com with “Subscription Cancellation” in the subject line.

Cancellations take effect at the end of the current billing cycle. No prorated refunds will be issued.

7. METHODS OF CONTENT DISSEMINATION

We may distribute our content through:

  • Our website and mobile app.

  • Email newsletters and SMS messages (to subscribers who have opted in).

  • Social media platforms.

  • Affiliate or third-party websites.

  • Press releases, display ads, push notifications, or influencer partnerships.

  • Video, audio, and podcast platforms.

Some subscribers or recipients may receive information earlier than others, which could affect investment outcomes.

8. CONFLICTS OF INTEREST & SEC 17(b) DISCLOSURE

Stock Ships, LLC, its owners, the Issuer, the Paying Party, other third parties, or associated investors may own, purchase, sell, or otherwise trade securities of the companies we feature before, during, or after publication.

Selling activity by any of these parties—before, during, or after a promotional campaign—may negatively impact share prices.

We may receive compensation in cash, securities, or both for producing and distributing promotional content. Each campaign will disclose the exact nature and amount of compensation as required under Section 17(b) of the Securities Act of 1933.

9. NO INVESTMENT ADVICE

Our content is impersonal and not tailored to any individual’s investment objectives, financial situation, or needs.
We do not provide securities recommendations or advice about the suitability or profitability of any investment.
Always perform your own due diligence and consult with a licensed financial adviser before making investment decisions.

10. USER CONDUCT

You agree not to:

  • Violate securities laws or market manipulation rules.

  • Redistribute subscription-only content without authorization.

  • Post unlawful, defamatory, obscene, or misleading content in any Stock Ships communication channel.

  • Hack, scrape, or use automated bots to access our Services without permission.

11. EMAIL AND SMS COMMUNICATIONS (TCPA & CTIA COMPLIANCE)

By providing your email address and/or mobile number to Stock Ships, LLC, you consent to receive recurring marketing messages, educational content, company updates, and account-related notifications via email and SMS/text.

  • SMS messages are strictly limited to educational content and company updates. They will not include securities recommendations or personalized investment advice.

  • Message frequency may vary (up to 3 msgs/week).

  • Message and data rates may apply.

  • Reply STOP to unsubscribe at any time.

  • Reply HELP for help or contact contact@stockships.com.

  • Your consent is not a condition of purchase.

  • We are not liable for delays, failures, or undelivered messages.

12. INTELLECTUAL PROPERTY RIGHTS

All content, trademarks, graphics, and materials provided through the Services are the property of Stock Ships, LLC or its licensors, protected by U.S. copyright and trademark laws.

13. DISCLAIMERS & RISK WARNINGS

  • Investments in micro-cap, small-cap, or thinly traded securities carry high risk, including total loss of investment.

  • Price and volume increases during promotional campaigns are often temporary and may be followed by sharp declines.

  • Past performance is not indicative of future results.

  • Forward-looking statements involve risks and uncertainties that may cause actual results to differ materially.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Stock Ships, LLC will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services.

15. INDEMNIFICATION

You agree to indemnify and hold harmless Stock Ships, LLC, its owners, officers, employees, and affiliates from any claims or damages arising from your use of the Services or violation of these Terms.

16. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Florida, without regard to conflicts of law principles.
All disputes shall be resolved exclusively by binding arbitration in Florida under the rules of the American Arbitration Association.
You waive your right to participate in a class action lawsuit or jury trial.

17. MODIFICATIONS TO TERMS

We may revise these Terms at any time without notice. Your continued use of the Services constitutes acceptance of the updated Terms.

18. TERMINATION

We reserve the right to suspend or terminate your account at any time, without notice, for violations of these Terms or any applicable laws.

19. PRIVACY & DATA USE

We collect, store, and process personal information in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
